Advised on joint venture with international Japanese construction company and sale of Okinawa hotel to Hong Kong based private equity investors, including structuring of transaction, purchase and sale agreements, and retention of interests in joint venture operating vehicle responsible for development of branded residences and hotel development.

InterAsia Asset Management Co. Ltd:

Advised on additional pipeline development projects, including acquisition and disposition of hotels and development properties located in Japan, New York, and Thailand, and a potential joint venture with a Las Vegas based casino company for casino development projects in Asia, and timeshare conversion project in Krabi, Thailand.

Global Hotel Operator:

Advised client in connection with market entry into Japan under new “franchise light” business hotel development model for trophy property in Kyoto Japan.  Created alternative investment structure to enable client to enter into a joint venture with domestic third-party operating company and license development rights under a Japanese law compliant structure.  Adopted non-compliance Thailand documentation to create new flexible development templates to be used on a region-wide basis to enable quick expansion in new markets.   Negotiation of development and licensing agreements for Kyoto property, and structured transaction to allow for subsequent joint venture creation under newly formed Japanese entity.

Global Timeshare Company:

Advised the world’s leading timeshare company on its timeshare and trust structures in Asia, including corporate restructuring, acquisition of properties, relocation of the trust structure to Hong Kong and regulatory guidance in India, Indonesia, Thailand, Malaysia, Hong Kong, China, Japan, Korea, Singapore, Australia, Macau, Philippines, and Taiwan.

A Singapore based global hotel operator of luxury and ultra-luxury brand:

Advising on the acquisition of an ultra-luxury flagship hotel to be located in Nishi Asabu, Tokyo for Singapore based global hotel operator.  Advised on all aspects of cross border investment for first Japan hotel to be acquired by this operator.

Japanese Institutional hotel owner:

Advised on all aspects of disposition of boutique onsen resort located in Ito Japan to Swiss Investors.

Global Private Equity company:

Assisted the client in its acquisition and development of a mixed-use golf and resort project in Okinawa, Japan, including providing advice on financing structures to the client, implementation of project an asset management, and drafting relevant agreements for the joint venture, hotel management, acquisition and branded residence development aspects of the project.
