Advised Singapore based real estate conglomerate in connection with strategic roll-out of regional branded residence platform, including project structuring and compliance for Thailand and Vietnam developments, and created branded residence development agreement templates for brand portfolio use in APAC.
Global hotel operator of luxury and ultra-luxury brands:
BH2I acted as the sole counsel advising on new market entry into Thailand via the merger and acquisition of an existing hotel operating company, including advising on all aspects of the acquisition and integration of an existing business into the client’s cross border platform, including 15 hotel and branded residence projects located in Thailand, and Vietnam.
Singapore based Global Hotel Operator:
Represented client in connection with development of hotels in Philippines, Indonesia and Thailand Vietnam. Advised Singapore based headquarters on franchising and other jurisdiction specific laws requiring modification to development templates in 4 countries. Instruction resulted from advice in connection with dispute with Owner in two countries that could have been avoided by more precise localized development templates and adherence to statutory disclosure and registration requirements. Analysis and revision of development templates to be used on a regionwide basis.
Singapore based Global Hotel Operator of luxury and ultra-luxury brands:
Advised a hotel operating company in connection with the conversion of an existing hotel project to a new operator brand franchised hotel including branded residences under a mandatory rental pool scheme with the adjacent beach hotel. Negotiation to execution of the Franchise Agreements to incorporate commercial terms agreed between the parties and the existing purchaser documents transactional protections (in particular with respect to the guaranteed return to purchasers under the existing purchaser documents). This transaction involved advising a private equity joint venture in connection with its branding of a flagship casino mixed use project in Vietnam.

Advised on high level local law assessment of the template (i) Notice of Termination, and (ii) Confirmation of Termination (collectively, "Termination Documents"), to confirm whether completing and issuing the Termination Documents will be effective in terminating the MAs/BAMAs in Myanmar, Thailand, Vietnam, Sri Lanka, Malaysia and Maldives
